All charitable organisations who register with the ACNC will need to ensure their governing documents (for example, their rules, constitution, trust deed, rule book or articles of association) are correctly aligned to the charity’s legal structure, that meet the requirements in order to register with the ACNC.

Incorporated legal structures

There are several incorporated legal structures that your charity may have:

Incorporated associations: This is the most common legal structure for registered charities. The name will be something like ‘XYZ Incorporated’ or ‘XYZ Inc’.

Companies limited by guarantee: This is the second most common structure for registered charities. The name will be something like ‘XYZ Limited’ or “XYZ Ltd’.

Non-trading co-operatives: Co-operatives generally include the words ‘Cooperative’ and ‘Limited’ or ‘Ltd’ in their name.

Indigenous corporations: Some Aboriginal and Torres Strait Islander organisations are registered as corporations under the Corporations (Aboriginal and Torres Strait Islander) Act 2006 (Cth) (CATSI Act). These corporations are regulated by the Office of the Registrar of Indigenous Corporations (ORIC). They usually have a name like ‘XYZ Aboriginal Corporation’.

Unincorporated legal structures

If your charity is not incorporated, it could be a trust (for example, ‘XYZ Fund’, or ‘XYZ Foundation’) or an unincorporated association (a less formal structure, with no separate legal identity).

Purpose statement

Purpose statement

A charitable purpose (also called a mission or object) is the reason a charity has been set up and what its activities work towards achieving. All charities registered with the ACNC must have a charitable purpose. This purpose is usually set out in the charity's governing document.

KOI’s primary activity is to recruit teams of volunteers in Australia to travel to Russia, Estonia and Ukraine to deliver cultural exchange and life skills education programmes to youth activities hosted by local organisations and charities with which we have agreements to work together. Other activities focus on raising awareness and financial support for a range of international projects in which we partner with local charitable organisations. In 2020 this was reduced to only financial support to families in Russia who have adopted disadvantaged children. Due to COVID-19 KOI's activities were severely curtailed for 2020. Planning for the regular volunteer exchange programmes commenced in the beginning of the year, they were put on hold about the end of 1st quarter. Future exchange programmes for 2021 and beyond are unlikely because of continuing international travel restrictions. Also, as our partner in Estonia was not conducting youth programs over the summer period, because of local and international COVID-19 restrictions, financial support was not required not provided.

Financial Report

Annual financial reports provide financial information and act as an additional level of assurance about a charity's operations and financial affairs during a reporting period. Financial statements are prepared as required by the ACNC Act and Regulations using standards set by the Australian Accounting Standards Board (AASB).
